WHAT SERVICES DOES TRIP PROMOTER PROVIDE?

Trip Promoter provides a website available at the URL: [indicate URL] (hereinafter, the “Website”), where domestic or international trips proposed by reference persons (hereinafter, the “Promoters,” or the “Promoter,” as appropriate) may be presented in detail, which may be purchased as a package or individually, through the Website.

The Promoters may suggest itineraries, visits to places, or specific details of the trips they propose (hereinafter, the “Trip” or “Trips”), which will be offered to users who enter the Website (hereinafter, the “User” or “Users,” as appropriate).

HOW IS THE PROCEDURE?

1. The User who desires to purchase the Services offered by the Promoter, through Trip Promoter, can access a link provided by the Promoter, in which the details of the Trip will be provided.
2. If the User is interested in the Trip proposed through Trip Promoter, they must provide their data to proceed with the reservation of a place on the chosen Trip. This reservation will be effective once the relevant payment is made through a payment gateway that will be available on the Website.
3. Once the Contact Form has been received by Trip Promoter, a person in charge of providing advice (hereinafter, the Advisor) may contact the User to coordinate specific details, like: dates, destinations, activities and related costs.
4. The Advisor will be the contact person with the User to receive any information, obtain further details, make changes to the proposed trips, and even purchase these Trips.
5. Trip Promoter is limited to facilitating the contracting of third party tourist services (hereinafter, the “Third Party Providers”), which may be: tours, activities, accommodations, transfers, among others, (hereinafter, the “Third Party Services” or the “Services,” interchangeably), proposed by the Promoter.

ANY PERSON WHO DOES NOT ACCEPT THESE TERMS AND CONDITIONS, WHICH ARE MANDATORY AND BINDING, MUST REFRAIN FROM USING THE WEBSITE AND PURCHASING THE SERVICES OFFERED.

FIRST: ABILITY TO PURCHASE THE SERVICES

Users who access the Website will be able to see the different Trips advertised by the Promoters. Users who desire to purchase such Trips shall be persons with legal capacity to enter into contracts, as provided for by the applicable laws in the jurisdiction in which they are located, and in accordance with the limitations that may be reported by Third Party Providers. Those persons who do not have such capacity or the Users who have been temporarily suspended or permanently disabled by Trip Promoter shall not use the Services.

SECOND: USERSˈ REGISTRATION

1. Anyone desiring to purchase the Services must complete a Contact Form. To do so, Trip Promoter may request the following information: i) name and surname; ii) email address; iii) contact telephone number; iv) date of birth, and any other information, along with its relevant supporting documents (hereinafter, the “Personal Data”). In these cases, all fields in the Contact Form must be completed with the User’s correct data and it must be verified that the information made available to Trip Promoter is accurate, precise and true.

Trip Promoter reserves the right to require that the person who has made the Registration submit evidence, documentation and/or additional information to corroborate the Personal Data, and to confirm whether the personal information provided in the Contact Form matches the information about the User appointed by the User.

THIRD: GENERAL TERMS OF SERVICE

1. The service provided by Trip Promoter is strictly limited to what is established in these Terms and Conditions, therefore, any conflict or error that may exist due to the answers provided by the Promoters, through any platform, including private social networks, is completely beyond the responsibility of Trip Promoter.
2. The User is responsible for making all Trip inquiries with the assigned Advisor before purchasing the Services.
3. The User understands and accepts that, in order to properly provide the Services, Trip Promoter may share the User's Personal Data with Third Party Providers of the Services related to the Trip.

FOURTH: SERVICE PROVISION

The User agrees to hire through Trip Promoter the provision of the Services, to make a proper and lawful use thereof in accordance with applicable law, these Terms and Conditions, morality and generally accepted good customs and public order.

By requesting the Services, the User agrees to:

1. Refrain from using the Service for purposes that are illicit, illegal, contrary to the provisions of these Terms and Conditions, to good faith and public order, harmful to the rights and interests of third parties;
2. Avoid damaging the configuration of the Services in any way, nor accessing restricted resources of them;
3. Avoid introducing or disseminating computer viruses or any other physical or logical systems that are likely to cause damage to the Website.

FIFTH: LIABILITY

1. Trip Promoter only makes available to Users and Promoters the promotion of the Trips, with the purpose of providing Users with a wide range of information regarding the Trips, and easiness for their purchase.


2. Trip Promoter, in its capacity as a simple intermediary, provides the information related to the Third Party Services, through the Website, and allows the Promoters to share the information of the Trips through the communication channels and/or platforms of the Promoter's preference.


3. Trip Promoter endeavors to ensure that the information provided to the User is as accurate as possible. However, Trip Promoter cannot guarantee the accuracy, completeness and timeliness of such information.


4. The User understands and agrees that Trip Promoter and its Advisor have no control over the Services provided by third parties and, therefore, they cannot be held liable for any failure, damage, loss or inconvenience that may arise from the use of these Services.


5. By hiring a trip through Trip Promoter, the User accepts these conditions and understands that Trip Promoter and its Advisor act only as intermediaries and facilitators, without direct responsibility for the Services hired.


6. Therefore, the User understands that the results given by the Advisor will depend on the information previously given by the Third Party Providers.

SIXTH: USE AND WARRANTY OF THE WEBSITE AND/OR SERVICES

1. Trip Promoter does not guarantee the availability and continuity of the operation of the Website, nor of the Services. Consequently, Trip Promoter shall in no event be liable for any damages that may arise from (i) the lack of availability or accessibility to the Website; (ii) the interruption in the operation of the Website, as well as any computer failure, disconnections, delays or blockages caused by deficiencies or overloads in data centers, communication systems, internet or other electronic systems during its operation, are events whose availability and performance fall exclusively on the respective providers of such technologies; Trip Promoter shall not assume any liability for any inconvenience, loss or damage resulting from such circumstances; and (iii) other damages that may be caused by third parties through unauthorized intrusions beyond the control of Trip Promoter.


2. Trip Promoter does not guarantee the absence of viruses or other elements on the Website, introduced by external third parties that may cause alterations in the physical or logical systems of the User and/or the User or in the electronic documents and files stored in their systems. Consequently, Trip Promoter shall in no case be liable for any damages of any nature that may derive from the presence of viruses or other elements that may produce alterations in the physical or logical systems, electronic documents or files of the User.


3. Trip Promoter adopts several protection measures to protect the Website against computer attacks by third parties. However, Trip Promoter does not guarantee that unauthorized third parties cannot know the conditions, characteristics and circumstances in which the User accesses the Website. Consequently, Trip Promoter shall in no case be liable for any damages that may arise from such unauthorized access.


4. By accepting these Terms and Conditions, the User represents that they will hold Trip Promoter, its subsidiaries and parent companies, directors, partners, employees, attorneys and agents harmless from any claim arising from (i) breach by the User, Third Party Providers, the Promoters, of any provision contained in these Terms and Conditions or any law or regulation applicable thereto, (ii) breach or violation of the rights of third parties including, but not limited to, other Users; and (iii) breach of the permitted use of the Website.

SEVENTH: INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS

The User acknowledges and agrees that all intellectual and industrial property rights over the contents and/or any other elements inserted in the Website (including, without limitation, trademarks, logos, trade names, texts, images, graphics, designs, sounds, databases, software, flow charts, presentation, audio and video) belong to Trip Promoter.

Trip Promoter authorizes the User to use, visualize, print, download and store the contents and/or the elements available on the Website, exclusively for his personal, private and non-profit use, refraining from carrying out any act of decompilation, reverse engineering, modification, disclosure or distribution on it. Any other use or exploitation of any contents and/or other elements other than those expressly provided for herein, shall be subject to the prior authorization of Trip Promoter.

All information that the User communicates to Trip Promoter through the Website (including any comments, suggestions, ideas, graphics, photos, etc.) shall be the exclusive property of Trip Promoter with unrestricted rights of use by Trip Promoter, without any right to compensation to the User, nor to anyone else. Furthermore, such information shall not be treated as confidential by Trip Promoter.

EIGHTH: PROTECTION OF PERSONAL DATA

The Personal Data provided by the User on the Website will be integrated into a personal database for which Trip Promoter is responsible, whose address appears in the heading of this document.

The User may exercise the rights to access, rectify, delete and update the User’s Personal Information, as well as to object to the use thereof, all in accordance with the provisions of the applicable regulations in the jurisdiction in which the User is located by sending an e-mail as set forth in the Privacy Policies.

NINTH: NOTIFICATIONS

Trip Promoter may make appropriate notifications to the User by means of a general notification on the Website. The User may notify Trip Promoter by sending an e-mail to the following address: info@trippromoter.com.

TENTH: ASSIGNMENT

The User may not assign its rights and obligations under these Terms and Conditions without the prior written consent of Trip Promoter.

Trip Promoter may assign, without the User's prior consent, these Terms and Conditions to any entity within its group of companies, throughout the world, as well as to any person or entity that may succeed it in the exercise of its business by any title whatsoever.

Change of control: In the event that a natural or legal person acquires all or part of Trip Promoter, or in the event that Trip Promoter sells or disposes of part or all of the business, the acquirer may have access to the data provided by you, without prior requirement to do so. Likewise, Trip Promoter may transfer at any time and without any prior authorization or requirement, either partially or totally, the data contained in the Web Site, whether in case of a reorganization (by commercial merger), insolvency proceedings or any other related procedure.

ELEVENTH: MODIFICATION OF TERMS AND CONDITIONS

Trip Promoter may modify the Terms and Conditions at any time. The new versions of the Terms and Conditions shall be notified by posting said new version on the Website.

TWELFTH: CLAIMS. APPLICABLE LAW AND JURISDICTION

In the event of a claim arising out of the relationship with Trip Promoter as a result of these Terms and Conditions, the User should contact Trip Promoter at the following e-mail address: info@trippromoter.com.

These Terms and Conditions, as well as the relationship between Trip Promoter and the User, shall be governed and construed in accordance with the regulations in force in the Argentine Republic and, in case of dispute, the Parties agree to submit to the jurisdiction of the trial Courts of the Federal Capital, waiving any other jurisdiction or venue.
